Welcome to resonact.ai("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, APIs, and any related software, content, or services we provide (collectively, the "Service").
The Service is intended for lawful business and productivity use only. It provides access to AI-powered tools and workflows through third-party infrastructure and model providers, including OpenAI, Google Gemini, Anthropic Claude, and Vercel-based routing or gateway services.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
You also represent that your use of the Service is permitted under applicable laws and that you are not located in, or acting on behalf of, any sanctioned, embargoed, or otherwise restricted person or jurisdiction where our Merchant of Record cannot legally operate.
2. Accounts and Security
You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep that information updated.
- Maintain the confidentiality of your login credentials.
- Be responsible for all activity that occurs under your account.
- Notify us promptly if you believe your account has been compromised.
- Not share accounts, bypass access controls, or use false identities to avoid platform restrictions.
- Not use proxies, cloaking, automation, or other methods to misrepresent your location, identity, or intended use.
We may suspend or terminate your account if we believe there is a security risk, fraud risk, policy violation, or abuse of the Service.
3. License and Acceptable Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal lawful business and productivity purposes, subject to these Terms.
This section is strictly enforced to comply with payment partners, Merchant of Record requirements, and applicable law.
You must not use the Service to create, promote, facilitate, or assist any of the following:
- Illegal or harmful activity: fraud, scams, phishing, impersonation, theft, evasion of law enforcement, or any unlawful conduct.
- Adult or NSFW content: explicit sexual content, erotic services, sexual solicitation, or content intended primarily for adult sexual stimulation.
- Regulated advice or services without proper authorization: unlicensed medical, legal, financial, immigration, tax, or government-related advice or services.
- Deceptive or misleading content: deepfakes, misinformation, manipulated media, identity fraud, false claims, or deceptive testimonials.
- Spam and privacy abuse: mass outreach, cold spam, lead scraping, unauthorized data collection, stalking, or privacy-invasive tracking.
- Gambling and speculative services: betting, gambling, sweepstakes, raffles, casinos, or similar chance-based systems.
- Crypto and token services: token launches, NFTs, DeFi, or virtual asset services where the activity could create regulatory or payment risk.
- Weapons or violence: weapons promotion, violent wrongdoing, self-harm facilitation, or instructions for harmful acts.
- Intellectual property abuse: piracy, unauthorized copying, copyright infringement, voice cloning, or unauthorized deepfake generation.
- Technical abuse: reverse engineering, scraping at scale, exploiting infrastructure, bypassing rate limits, or interfering with Service integrity.
We may monitor usage to maintain security, prevent abuse, comply with legal obligations, and enforce these Terms.
4. Payments, Billing, and Merchant of Record
We use a third-party Merchant of Record ("MoR"), including but not limited to Dodo Payments, to process transactions for the Service. By purchasing any paid feature, you agree that the MoR may act as the legal seller of record for the transaction.
The MoR may handle payment processing, tax calculation, tax remittance, invoicing, fraud checks, and chargeback or dispute handling, subject to the MoR's own terms and policies.
You authorize us and our payment partners to charge your selected payment method for all amounts due, including taxes where applicable. We may refuse, delay, reverse, or cancel a transaction if it appears fraudulent, high-risk, or inconsistent with these Terms or the MoR's requirements.
You must not use unauthorized payment methods, initiate fraudulent transactions, or abuse any billing process.
5. Refunds and Chargebacks
All purchases are final and non-refundable except where required by applicable law or where the MoR determines a refund is necessary for compliance, error correction, or fraud mitigation.
We do not provide refunds for used credits, partial usage, dissatisfaction with AI outputs, or account termination due to a policy violation.
If you initiate a chargeback or payment dispute, we may suspend or terminate your account immediately while the matter is reviewed. Abusive or fraudulent chargebacks may result in permanent loss of access to the Service and may be reported to payment partners or relevant authorities where permitted by law.
6. Third-Party AI Services and Risk Disclosure
The Service may rely on third-party AI models and infrastructure, including OpenAI, Google Gemini, Anthropic Claude, and Vercel infrastructure or gateway services.
You understand and agree that outputs are generated by third-party systems and may be inaccurate, incomplete, outdated, biased, unsafe, or unsuitable for your purposes. We do not control those systems and do not guarantee the accuracy, reliability, availability, or legality of any output.
You agree not to rely on the Service for critical decisions, including medical, legal, financial, immigration, safety, or emergency decisions. Any use of outputs is at your own risk.
7. User Content
You retain ownership of the content you submit, upload, or generate through the Service to the extent permitted by law. However, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, cache, display, and otherwise use that content solely to provide, secure, maintain, and improve the Service.
You are responsible for ensuring your content and instructions comply with the law, do not infringe third-party rights, and do not violate these Terms or the rights of others.
We may remove, restrict, or disable access to content that we reasonably believe violates these Terms, our policies, or applicable law.
8. Data, Privacy, and Logging
Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge that data may be processed by third-party AI providers, hosting providers, analytics tools, and infrastructure partners as necessary to operate the Service.
We may retain logs and related technical records for security, debugging, abuse prevention, billing, analytics, and legal compliance purposes. We use commercially reasonable safeguards, but no system can be guaranteed to be completely secure.
9. Intellectual Property
The Service, including its software, interfaces, workflows, branding, designs, and related materials, is owned by or licensed to the Company and is protected by intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from the Service.
10. Service Availability and Beta Features
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
Some features may be labeled beta, preview, or experimental. These features may be unstable, change without notice, or be removed at any time. Use them at your own risk.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free from harmful components.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of: (a) the amount you paid to us in the six (6) months before the event giving rise to the claim, or (b) INR 5,000.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or related to:
- Your use or misuse of the Service.
- Your violation of these Terms or any applicable law.
- Your content or instructions.
- Your infringement or alleged infringement of any third-party right.
14. Termination and Enforcement
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk for the Service, or triggered a payment or compliance concern.
We may also take enforcement actions required by our payment partners or Merchant of Record, including transaction blocking, account suspension, reversal of access, or reporting of suspicious activity where legally permitted.
Upon termination, your right to use the Service ends immediately, and any rights granted to you under these Terms will cease.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles.
Before starting formal proceedings, the parties will first attempt to resolve any dispute informally in good faith. If the dispute is not resolved informally, it will be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Gujarat, India, and the arbitration will be conducted in English by a single arbitrator.
Subject to the above, the courts located in Gujarat, India will have jurisdiction for matters that may be brought before a court.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the Last Updated date above. Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.
17. Miscellaneous
- Entire Agreement: These Terms are the entire agreement between you and us regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Assignment: You may not assign your rights or obligations without our prior written consent.
- Waiver: Our failure to enforce any provision is not a waiver of that provision.
